This presentation will focus on final rules, promulgated by FinCEN under the Corporate Transparency Act (CTA), concerning new beneficial ownership information (BOI) reporting requirements for certain legal entities. The final rules were issued on September 30, 2022 and take effect on January 1, 2024. Our presentation will cover the purpose of the new regulations, as well as who must file a report, what information must be provided, when a report is due, who will have access to the reported information, and the potential liability for non-compliance. We will also preview other upcoming rulemakings that FinCEN has planned in order to fully implement the CTA.
